INDIGOFF — Terms and Conditions

These Terms and Conditions (“Terms”) govern access to and use of indigoff.com (the “Site”) and the commercial relationship between INDIGOFF LLC (“INDIGOFF”, “we”, “us”, or “our”) and any visitor, prospective customer, customer, architect, designer, contractor, collaborator, or other user (“you”).

INDIGOFF develops architectural acoustic systems, surfaces, lighting-integrated products, and spatial design solutions intended for commercial, hospitality, workplace, retail, and interior architectural environments.

By accessing or using the Site, requesting information or samples, submitting specifications, sending project files, requesting a quotation, or placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree with these Terms, you must not access or use the Site or transact with INDIGOFF.

INDIGOFF reserves the right to revise, modify, or update these Terms at any time without prior notice. Continued use of the Site after any update constitutes acceptance of the revised Terms.

2. Acceptance of Terms

By accessing or using the Site, requesting quotes, downloading technical materials, sending samples for approval, or placing an order with INDIGOFF, you acknowledge that you have read, understood, and agree to comply with these Terms.

You further agree not to use the Site in any manner that interferes with its functionality, security, infrastructure, or operation.

If you do not understand or agree to these Terms, you must discontinue use of the Site immediately.


3. Permitted Use of the Site

You may access, browse, electronically copy, download, and print limited portions of the Site solely for:

  1. Evaluating INDIGOFF products and services.
  2. Preparing architectural specifications or design presentations.
  3. Coordinating with clients, contractors, consultants, or project teams.
  4. Requesting quotations, samples, or technical information.

Any other use of the Site or its contents requires INDIGOFF’s prior written authorization.

Without limitation, you may not:

  • Scrape, harvest, or systematically extract Site data.
  • Use bots, crawlers, automated scripts, or unauthorized automation tools.
  • Attempt unauthorized access to the Site or related systems.
  • Upload malware, malicious code, or disruptive software.
  • Reproduce or redistribute Site content for commercial exploitation.
  • Interfere with Site security, infrastructure, or performance.
  • Mirror, clone, or replicate the Site or its design structure.

INDIGOFF reserves the right to suspend or terminate access for any violation of these Terms.


4. No E-Commerce / Quote-Based Sales

The Site is informational and does not currently process online payments.

All sales of INDIGOFF products are quote-based and confirmed through written purchase orders, sales orders, contracts, invoices, or equivalent commercial documentation.

Orders are subject to:

  • Written acceptance by INDIGOFF.
  • Product availability.
  • Manufacturing capacity.
  • Approved specifications.
  • Agreed payment terms.
  • Delivery scheduling.

INDIGOFF reserves the right to reject or cancel any order request at its discretion.


5. Products and Specifications

INDIGOFF designs and manufactures acoustic panels, architectural systems, lighting-integrated products, and related interior architectural components.

Technical information including dimensions, finishes, performance ratings, acoustic coefficients (NRC), composition, fire classifications, installation methods, and standard configurations are described in the applicable technical documentation and product data sheets available through the Site.

INDIGOFF reserves the right to modify, discontinue, improve, or update products, dimensions, finishes, specifications, materials, and standard offerings at any time without notice.


5.1 Material Composition (Textile Disclosure)

INDIGOFF acoustic panels are manufactured from 100% PET (polyethylene terephthalate) polyester fiber, including post-consumer and post-industrial recycled content.

Standard acoustic panels are commonly manufactured in 9 mm (3/8″) and 12 mm (1/2″) thicknesses, with acoustic absorption values ranging approximately from NRC 0.65 to NRC 0.95 depending on mounting condition, spacing, installation method, and environmental conditions.

Standard fire performance classifications may include Class A ratings under ASTM E84 where specified.

PET acoustic panels are classified and treated as textile / non-woven felt products and naturally exhibit characteristics associated with textile materials.


5.2 Color Variation, Lots, and Sample Approval

Because INDIGOFF products are manufactured from recycled PET fiber and textile-based materials, slight variations in:

  • Color
  • Tone
  • Fiber distribution
  • Surface texture
  • Density
  • Finish appearance

may occur between production lots and within individual panels.

Such variations are natural characteristics of the material and do not constitute defects.

Digital renderings, photography, CGI imagery, printed materials, lighting conditions, camera processing, and monitor calibration may also affect color perception.

Customers requiring strict color consistency or project-specific matching must request physical samples and return signed and dated approvals before production begins.

Upon receipt of the approved sample, INDIGOFF will confirm whether inventory from the approved production lot remains available.

If the original lot is unavailable, alternative samples may be submitted for customer review and approval.

Orders placed without approved physical samples will be manufactured within standard commercial tolerances and shall not be subject to claims based on lot-to-lot variation.


5.3 Commercial Tolerances

All products are supplied within commercial tolerances customary for PET acoustic felt products and architectural fabrication.

Reasonable variations in:

  • Dimensions
  • Thickness
  • Weight
  • Flatness
  • Color
  • Fiber appearance
  • Surface texture
  • Alignment

shall not constitute non-conformity or defect.


5.4 Visual Representation Disclaimer

Photography, renderings, CGI visualizations, conceptual imagery, architectural visualizations, lifestyle scenes, and marketing materials displayed by INDIGOFF are intended for illustrative and inspirational purposes only.

Final installed products may vary in appearance depending on:

  • Lighting conditions
  • Installation methods
  • Surrounding materials
  • Environmental conditions
  • Camera processing
  • Monitor calibration
  • Fabrication tolerances
  • Viewing angle
  • Material aging

INDIGOFF does not guarantee exact visual correspondence between digital representations and final installed products unless expressly confirmed in writing.


6. Quotes, Orders, and Pricing

Quotes are valid only for the period stated in the quotation document.

INDIGOFF reserves the right to revise pricing due to:

  • Raw material fluctuations
  • Freight costs
  • Currency exchange variations
  • Scope modifications
  • Tariffs or import costs
  • Supply chain conditions

Pricing may be issued in U.S. Dollars (USD) or Mexican Pesos (MXN) depending on the project.

Payment terms including deposits, advance payments, milestone payments, or credit terms are established on a project-by-project basis and confirmed in writing.

Custom-fabricated, printed, routed, engraved, embossed, or made-to-order products are non-cancellable and non-refundable once production has commenced.

Taxes, duties, customs fees, brokerage fees, and import charges are the responsibility of the buyer unless otherwise agreed in writing.


7. Delivery

INDIGOFF offers delivery options that may include:

  1. Door-to-door shipment.
  2. Pickup at INDIGOFF manufacturing facilities.
  3. Delivery through third-party freight providers.

Delivery dates communicated by INDIGOFF are estimates only unless expressly identified in writing as guaranteed milestones.

INDIGOFF shall not be liable for delays caused by:

  • Force majeure events
  • Freight carrier disruptions
  • Customs delays
  • Government actions
  • Material shortages
  • Labor disruptions
  • Transportation failures
  • Natural disasters
  • Utility failures
  • Events beyond INDIGOFF’s reasonable control

Title and risk of loss transfer to the buyer upon delivery or pickup, as applicable.


8. Inspection and Claims

Customers must inspect products immediately upon receipt.

Any visible damage, shortage, shipping discrepancy, or non-conformity must be:

  1. Noted on the delivery receipt.
  2. Reported in writing within ten (10) business days.
  3. Accompanied by photographs and order references.

Claims submitted after this period may be rejected except for qualifying hidden defects covered under the warranty provisions.


9. Returns Policy

Because INDIGOFF products are manufactured to order or supplied from lot-specific inventory, the following policy applies:

  1. Custom-fabricated, printed, engraved, embossed, routed, modified, or made-to-order products are non-returnable and non-refundable.
  2. Standard-color, unopened, unused, and unmodified products may only be considered for return with prior written Return Material Authorization (“RMA”).
  3. Return requests must be submitted within fifteen (15) days of delivery.
  4. Authorized returns may be subject to restocking fees of up to 25% of invoice value plus return freight costs.
  5. Returned products must be inspected and approved by INDIGOFF before any credit is issued.
  6. Installed, cut, modified, damaged, or site-exposed materials are not eligible for return.
  7. Variations within commercial tolerances are not grounds for return.

10. Warranty

INDIGOFF warrants that its standard products will be free from defects in material and workmanship for a period of five (5) years from the shipment date when properly stored, handled, installed, used, and maintained in accordance with INDIGOFF instructions and technical documentation.

This warranty applies solely to the original purchaser and is non-transferable.

This warranty does not cover:

  1. Improper installation or handling.
  2. Product modification.
  3. Exposure to excessive moisture, water, chemicals, or prolonged direct sunlight.
  4. Environmental conditions outside recommended ranges.
  5. Abrasive cleaning or misuse.
  6. Normal wear, fading, or aging.
  7. Damage caused by third parties.
  8. Force majeure events.
  9. Variations within commercial tolerances.

INDIGOFF’s sole obligation under this warranty shall be, at its discretion:

  • Repair
  • Replacement
  • Credit issuance

for qualifying defective products.

INDIGOFF shall not be liable for:

  • Labor costs
  • Installation costs
  • Removal costs
  • Freight costs
  • Consequential damages
  • Indirect damages
  • Business interruption
  • Lost profits
  • Project delays

EXCEPT AS EXPRESSLY PROVIDED HEREIN, INDIGOFF DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.


11. Acoustic Performance Disclaimer

Acoustic performance values including NRC ratings are based on standardized laboratory testing conducted under controlled conditions.

Actual acoustic performance depends on numerous variables including:

  • Room geometry
  • Ceiling height
  • Installation density
  • Mounting condition
  • Adjacent materials
  • Furnishings
  • Ambient conditions
  • Construction methods

INDIGOFF does not guarantee specific in-situ acoustic performance unless expressly committed in writing as part of a dedicated engineered acoustic design service.


12. Architectural Specification Disclaimer

Architects, designers, contractors, engineers, consultants, installers, and purchasers are solely responsible for verifying:

  • Suitability for the intended application
  • Building code compliance
  • Structural compatibility
  • Installation requirements
  • Fire code requirements
  • Environmental suitability
  • Project-specific engineering conditions
  • Local regulatory compliance

INDIGOFF technical materials, renderings, and recommendations are provided for general informational purposes and do not replace professional project evaluation or engineering review.


13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INDIGOFF’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SITE, ANY QUOTE, PRODUCT, ORDER, OR COMMERCIAL RELATIONSHIP SHALL NOT EXCEED THE AMOUNT PAID BY THE CUSTOMER FOR THE SPECIFIC PRODUCTS GIVING RISE TO THE CLAIM.

UNDER NO CIRCUMSTANCES SHALL INDIGOFF BE LIABLE FOR:

  • INDIRECT DAMAGES
  • INCIDENTAL DAMAGES
  • CONSEQUENTIAL DAMAGES
  • SPECIAL DAMAGES
  • EXEMPLARY DAMAGES
  • PUNITIVE DAMAGES
  • LOSS OF PROFITS
  • LOSS OF BUSINESS
  • LOSS OF DATA
  • BUSINESS INTERRUPTION
  • DELAY DAMAGES
  • PROJECT COST OVERRUNS

REGARDLESS OF THE LEGAL THEORY ASSERTED, INCLUDING NEGLIGENCE OR STRICT LIABILITY.

SOME JURISDICTIONS MAY NOT ALLOW CERTAI  LIMITATIONS OR EXCLUSIONS OF LIABILITY, SO CERTAIN LIMITATIONS MAY NOT APPLY TO YOU.


14. Intellectual Property and Design Rights

14.1 Ownership

All content on the Site and all elements of INDIGOFF’s products, systems, collections, technical assets, and visual materials are the exclusive property of INDIGOFF LLC or its licensors and are protected under U.S. and international copyright, trademark, trade dress, patent, design patent, unfair competition, and intellectual property laws.

Protected materials include, without limitation:

  1. Text, graphics, photography, renderings, illustrations, animations, videos, layouts, and the visual structure of the Site.
  2. The INDIGOFF name, logo, collection names, and product names.
  3. Product geometries, panel configurations, modular systems, repeating patterns, textures, and surface treatments.
  4. Technical data sheets, BIM/Revit files, CAD drawings, 3D models, installation drawings, and specifications.
  5. Proprietary naming systems, finish combinations, and visual identities.

14.2 Exclusivity of Designs

INDIGOFF designs are exclusive to INDIGOFF LLC.

The shapes, geometries, assemblies, panel systems, modular arrangements, and visual identities of INDIGOFF products are the result of original creative and engineering work and are not in the public domain.

The functional nature of acoustic absorption does not place the ornamental, stylistic, or architectural expression of INDIGOFF products into the public domain.


14.3 Permitted Use

You may download and use INDIGOFF materials solely for:

  1. Internal evaluation.
  2. Architectural specification.
  3. Project presentations.
  4. Coordination with project teams.
  5. Communication with INDIGOFF.

All copyright, trademark, and proprietary notices must remain intact.


14.4 Prohibited Use

Without prior written consent from INDIGOFF, you may not:

  1. Reproduce, manufacture, replicate, or imitate INDIGOFF products or designs.
  2. Reverse-engineer or extract design specifications.
  3. Scan, photogrammetrically capture, or digitally reconstruct INDIGOFF products.
  4. Use INDIGOFF technical materials to market or fabricate competing products.
  5. Use INDIGOFF trademarks or product names in competing advertising, domains, metadata, or search keywords.
  6. Remove copyright, trademark, or proprietary notices.
  7. Redistribute INDIGOFF technical or visual materials.
  8. Suggest endorsement, partnership, or affiliation where none exists.

14.5 Specification Substitutions

Where INDIGOFF is specified as the basis-of-design manufacturer, any substitution proposal must be independently evaluated using the substituting manufacturer’s own technical documentation.

The use of INDIGOFF renderings, technical literature, BIM files, CAD files, photography, or design references to support competing products is prohibited.


14.6 Enforcement

INDIGOFF actively monitors unauthorized use of its intellectual property and reserves all available legal remedies, including:

  • Injunctive relief
  • Monetary damages
  • Recovery of profits
  • Statutory damages
  • Recovery of legal fees and costs
  • DMCA takedown notices

15. User Submissions

If you submit project photographs, comments, reviews, suggestions, ideas, specifications, or other content to INDIGOFF, you grant INDIGOFF a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, display, publish, and distribute such materials in connection with INDIGOFF’s business unless otherwise agreed in writing.

You represent that you possess all necessary rights to submit such content.


16. Prohibited Conduct

You agree not to:

  • Upload unlawful or malicious materials.
  • Attempt unauthorized access to systems.
  • Interfere with Site operations.
  • Impersonate another person or entity.
  • Distribute malware or disruptive code.
  • Abuse login credentials.
  • Violate intellectual property rights.
  • Use the Site for fraudulent purposes.

INDIGOFF reserves the right to investigate suspected violations and cooperate with law enforcement authorities.


17. Indemnification

You agree, at your own expense, to indemnify, defend, and hold harmless INDIGOFF LLC, its affiliates, officers, directors, employees, contractors, representatives, licensors, and agents from and against all claims, liabilities, damages, losses, judgments, penalties, costs, and expenses, including reasonable attorneys’ fees, arising out of:

  • Your violation of these Terms.
  • Your misuse of the Site.
  • Your misuse of INDIGOFF products.
  • Your infringement of intellectual property rights.
  • Your negligence or misconduct.

18. Suspension or Termination of Access

INDIGOFF reserves the right, at its sole discretion and without prior notice, to:

  • Suspend access to the Site.
  • Restrict accounts.
  • Remove content.
  • Reject requests.
  • Terminate Site access.

for any reason including suspected violation of these Terms.

INDIGOFF shall not be liable for any losses resulting from suspension or termination of access.


19. Governing Law and Jurisdiction

These Terms and any dispute arising out of or relating to the Site, INDIGOFF products, quotations, orders, or commercial relationships shall be governed by the laws of the State of New Jersey, United States, without regard to conflict of law principles.

The parties submit to the exclusive jurisdiction of the state and federal courts located in New Jersey.

INDIGOFF may seek injunctive relief in any jurisdiction necessary to protect its intellectual property rights.

The United Nations Convention on Contracts for the International Sale of Goods does not apply.


20. Severability

If any provision of these Terms is held invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.


21. Reservation of Rights

Any rights not expressly granted herein are reserved by INDIGOFF.


22. Updates

INDIGOFF may update these Terms at any time.

The “Last updated” date reflects the most recent revision.

Continued use of the Site after updates constitutes acceptance of the revised Terms.
